Lesslie Technologies AB's Supplementary Terms for AI Features

1. Scope and acceptance

1.1 These Supplementary Terms for AI Features (the "AI Terms") apply to the Customer's use of AI Features and form an appendix to Lesslie Technologies AB's Terms and Conditions (the "Terms"). The AI Terms apply from the time the Customer accepts them on the Platform when activating an AI Feature.

1.2 The Terms apply to AI Features to the extent not otherwise stated in the AI Terms. In the event of a conflict, the AI Terms take precedence over the Terms in respect of AI Features.

1.3 Capitalised terms not defined in the AI Terms have the meaning given to them in the Terms.

2. Definitions

2.1 "AI Features" has the meaning given in the Terms and includes the automatic matching of documents (such as invoices and receipts in PDF format) against payments and suggestions for bookkeeping entries based on such matching.

2.2 "AI Output" means any result generated by an AI Feature, including matches between documents and payments, data extracted from documents, classifications, and suggested bookkeeping entries.

2.3 "AI Provider" means a third party that provides infrastructure, models or other services that Lesslie uses to deliver AI Features.

3. Use of AI in the Services

3.1 The Platform indicates which features are AI Features and marks AI Output as having been generated by an AI Feature.

3.2 AI Features process information automatically and generate AI Output on the basis of probabilities. AI Output may therefore be incomplete, inaccurate or incorrect, for example where a document is unclear, incomplete or differs from the expected format.

3.3 AI Output is provided to support the Customer's administration and does not constitute accounting, tax, legal or financial advice.

3.4 AI Features do not initiate or execute payment transactions. Lesslie does not use AI Features alone to make final decisions on the Customer's access to the Services, the execution of payments or the Customer's financial terms.

4. The Customer's responsibility

4.1 The Customer remains responsible for its bookkeeping and for complying with the Swedish Bookkeeping Act (Sw. bokföringslagen (1999:1078)), tax legislation and other law applicable to the Customer, including the correctness of bookkeeping entries created with the help of AI Features.

4.2 The Customer shall review AI Output within a reasonable time, and in any event before closing the relevant accounting period or submitting any tax return based on it, and shall correct any errors through the Platform or in its bookkeeping system.

4.3 The Customer shall inform Lesslie without undue delay if it discovers errors in AI Output that appear to be recurring or systematic.

4.4 The Customer is responsible for ensuring that documents and other Customer Data made available to AI Features are correct and complete, relate to the Customer's business, and may lawfully be processed by Lesslie for the purposes set out in the AI Terms.

4.5 The Customer is solely responsible for archiving its accounting records, including source documents (Sw. verifikationer), in accordance with the Bookkeeping Act. Lesslie does not archive source documents on the Customer's behalf, and any temporary storage of documents on the Platform for the purpose of providing AI Features does not constitute archiving.

5. Approval of AI Output

5.1 AI Features only suggest matches and bookkeeping entries. A suggestion is posted to the Customer's bookkeeping system only after it has been reviewed and approved by a user authorised by the Customer, and the approval constitutes the Customer's instruction to post the entry.

5.2 The Customer may reject or change a suggestion before approving it. Approved entries are logged and identifiable as based on AI Output.

6. Data and AI Providers

6.1 To provide AI Features, Lesslie processes Customer Data, including documents, the information they contain and related payment information. Information about Lesslie's processing of personal data is available in Lesslie's privacy notice at https://lesslie.se/integritetspolicy.

6.2 Lesslie uses AI Providers to deliver AI Features, currently Amazon Web Services (Amazon Bedrock). Customer Data processed in AI Features is processed within the EU. Information about the sub-processors used for AI Features is provided to the Customer on request.

6.3 Lesslie shall ensure through its agreements with AI Providers that they do not use Customer Data to train or improve their models and do not retain Customer Data beyond what is necessary to provide their services to Lesslie.

6.4 Lesslie does not use Customer Data to train, fine-tune or otherwise improve AI models unless the Customer has given its prior consent in the Platform's settings. The Customer may withdraw such consent at any time with effect for the future.

6.5 Notwithstanding section 6.4, Lesslie may use the Customer's corrections and approvals within the Customer's own Account to improve AI Output for that Customer, and may use anonymised and aggregated information about the performance of AI Features, such as match and error rates, to monitor and improve their quality.

6.6 Lesslie logs the use of AI Features, including input, AI Output and user actions, to the extent necessary for traceability, error handling, security and compliance with regulatory requirements. Logs are kept for the period required under the Swedish Anti-Money Laundering Act (Sw. lagen (2017:630) om åtgärder mot penningtvätt och finansiering av terrorism), normally five years after the end of the business relationship.

6.7 The sections "By using the Platform" and "Data" in the Terms apply to Customer Data processed in AI Features only to the extent consistent with this section 6.

7. Acceptable use

7.1 The Customer shall not, and shall ensure that its users do not:

      1. upload documents containing malicious code, or content unrelated to the Customer's business and accounting;
      2. attempt to manipulate AI Features, including by placing hidden instructions or text in documents intended to influence AI Output;
      3. attempt to extract the models, prompts or configurations used in AI Features; or
      4. use AI Output in breach of applicable law.

7.2 Lesslie may block individual documents, or suspend the Customer's access to AI Features, in the event of a breach of this section 7.

8. Rights to AI Output

8.1 As between the Parties, the Customer may freely use AI Output relating to its own Customer Data in its business.

8.2 Lesslie retains all rights to AI Features, including models, prompts, configurations and other technology used to provide them.

9. Warranties and liability

9.1 AI Features are provided "as is". Lesslie does not warrant that AI Output is correct, complete or fit for a particular purpose, and the use of AI Features does not relieve the Customer of its obligations under section 4.

9.2 Lesslie is not liable for loss arising from AI Output that the Customer has approved in accordance with section 5, unless Lesslie has acted with gross negligence or intent. The limitation of liability in the Terms applies.

9.3 Notwithstanding what is stated in the Terms regarding third parties, Lesslie is responsible for its AI Providers as for itself.

9.4 Nothing in the AI Terms limits Lesslie's liability in respect of payment services under the Swedish Payment Services Act (Sw. lagen (2010:751) om betaltjänster) to the extent such liability cannot be limited by agreement, or Lesslie's obligations under applicable data protection law.

10. Changes, suspension and termination

10.1 Lesslie may at any time and without prior notice develop, change, add or remove AI Features and replace the models used. Lesslie may replace or add AI Providers subject to applicable data protection law.

10.2 Lesslie may change the AI Terms at any time. A change takes effect when Lesslie has notified the Customer of it by email or through the Platform, or at a later date stated in the notice. If the Customer does not accept a change, the Customer may deactivate AI Features. Continued use of AI Features after a change has taken effect constitutes acceptance of the change.

10.3 Lesslie may temporarily suspend AI Features without prior notice where necessary for security reasons, because of suspected errors in AI Output, in the event of misuse, or to comply with regulatory requirements, and shall inform the Customer as soon as possible. During a suspension, the Customer can handle matching and bookkeeping manually.

10.4 The Customer may deactivate AI Features at any time in the Platform's settings. Deactivation of all AI Features terminates the AI Terms without affecting the Customer's access to the other Services. The AI Terms terminate automatically when the Agreement terminates.

10.5 Sections 4.1, 4.5, 6.3, 8 and 9 continue to apply after termination of the AI Terms.
